About the Role
Our client, a multi-jurisdictional organization operating across Canada and the United States, is seeking a detail-oriented In House Corporate Paralegal for a 12-month contract at their North York head office. The ideal candidate brings 4-5 years of experience supporting corporate legal functions, strong accuracy in work product, and the ability to thrive in an evolving environment.
Duties & Responsibilities

  • Maintain accurate and current corporate records for a large portfolio of entities using a legal entity management system (e.g., Diligent).
  • Support the Corporate Secretary and General Counsel with entity governance and compliance across multiple jurisdictions.
  • Communicate with registered agents to ensure timely filing of annual returns and regulatory obligations; prepare and submit in-house filings as required.
  • Draft and manage corporate transactions and legal agreements in collaboration with internal and external counsel.
  • Prepare and organize corporate minute book documentation, including articles, by-laws, resolutions, minutes, registers, and share certificates.
  • Assist in due diligence, audit inquiries, and regulatory requests.
  • Conduct biannual reconciliations between entity records, accounting records, and minute books to confirm consistency.
  • Manage formation of new legal entities (corporations, partnerships, LLCs, ULCs, trusts, not-for-profits, etc.).
  • Coordinate dissolutions, reorganizations, and amendments to corporate structure.
  • Support trademark and patent renewals.
  • Assist with preparation and execution of annual general meetings.
Requirements
  • Bachelor's degree and paralegal license required.
  • Valid Ontario Notary License.
  • Law Clerk designation considered an asset.
  • 4-5 years' experience in a corporate legal department or large law firm.
  • Experience with mergers, acquisitions, reorganizations, entity formations, and dissolutions.
  • Background in multi-jurisdictional (Canada/U.S.) entity management and corporate governance.
  • Experience using legal entity management software (e.g., Diligent) preferred.
  • Exceptional organizational skills and meticulous recordkeeping.
  • Strong written and verbal communication abilities.
  • Solid understanding of corporate law, compliance standards, and regulatory requirements.
  • Proficient in preparing resolutions, minutes, and standard corporate agreements.
