We are looking for a highly organized and detail-driven professional for the
Corporate Services Lead
role to take ownership of our corporate governance and compliance functions. This role will be responsible for reviewing and managing contracts, coordinating insurance policies, administering shareholder transactions, and completing annual legal filings. The Lead will work closely with the CFO and external advisors to ensure the company meets its legal and regulatory obligations while reducing risk and improving efficiency.

The successful candidate will be responsible for the following:
Working closely with EDI team members on
o Contract and Insurance Administration
o Reviewing and tracking contracts with clients, subcontractors, and partners
o Flag key terms, risks, and compliance issues for project managers
o Maintaining a contract database with reminders for renewals, deadlines, and obligations
o Managing corporate insurance policies, including renewals and claims
o Maintaining up-to-date insurance certificates and coverage records
o Liaising with brokers/providers to address company needs and risk exposure
Shareholder Administration
o Coordinating buy/sell transactions, transfers, and related documentation
o Maintaining accurate shareholder registers and related agreements
o Supporting partner communications, and transaction approvals
Annual Reporting
o Assisting with providing our external legal support with year-end requirements and reviewing related documents for accuracy
o Assisting with board documentation and governance compliance
Providing assistance to the Executive Team and Board as requested
We are looking for someone with:

Problem-Solving: Identifies issues early and proposes practical solutions.
Confidentiality: Handles sensitive financial and legal information appropriately.
Requirements:
Strong organizational and document management skills.
Diploma or degree in Business Administration, Legal Studies, Finance, or a related field.
3-5 years' experience in contract management, governance, or corporate administration.
Knowledge of corporate compliance, insurance, and shareholder processes.
Proficiency with Microsoft Office.
The typical compensation range for this position is from $85,000 - $100,000 annually; the compensation offered may vary depending on job-related knowledge, skills, experience, and internal equity.
