Position Summary




We are seeking a highly organized and detail-oriented

Corporate Legal Assistant

to join our Legal team. This role will support the ongoing corporate governance, compliance, and operational activities of WELL Health and its subsidiaries across Canada and the United States. The successful candidate will manage corporate records, assist with filings, support M&A transactions, and ensure timely compliance with legal and regulatory requirements.

What you will be doing



Corporate Governance:

Maintain and update corporate records and minute books; prepare board and shareholder resolutions for corporate changes and transactions; process changes in ownership, directors, and officers by filing required forms and resolutions.

Entity Management & Registrations:

Manage incorporations, continuances, amalgamations, extra-provincial registrations, and business/trade-name registrations and renewals across provinces.

Annual Compliance (Canada):

Prepare and file annual returns for all entities and extra-provincial registrations; track annual filing deadlines and ensure timely submissions.

U.S. Compliance:

Coordinate state annual reports, franchise tax filings, and other mandatory submissions; liaise with registered agents; maintain a calendar of U.S. compliance dates to keep subsidiaries in good standing.

Municipal Licensing:

Obtain, renew, and amend business licences for clinics and physician practices; ensure each location meets municipal requirements and renewal cycles are tracked.

Transaction Support (M&A):

Conduct due diligence searches; assist the Legal team in coordinating closing agendas and organizing closing documentation; manage post-closing deliverables by tracking critical dates; draft notices and receipts; update corporate records accordingly.

Lease Administration:

Review leases, summarize key terms (term, renewal, rent, and escalations), maintain a lease tracker, and provide lease information to Operations and Finance upon request.

Legal Operations & Administration:

Process incoming invoices from legal vendors; maintain legal accounting and operational trackers; support Legal, Finance, Insurance, HR, and Operations teams with administrative and compliance needs.

You have



Minimum of 3 years of experience in corporate law, governance, or a similar legal support role. Strong understanding of corporate filings, registrations, and compliance requirements across Canadian jurisdictions (U.S. experience is an asset). Experience supporting M&A transactions and maintaining complex corporate structures. Exceptional attention to detail, organizational, and multitasking skills. Strong proficiency in Microsoft Office Suite and corporate management software. Excellent written and verbal communication skills. Ability to maintain confidentiality and demonstrate discretion with sensitive information. Collaborative and professional approach with the ability to work cross-functionally.
