Job Description

Our client, a prestigious and well-established business law firm based in Toronto, Ontario is seeking a highly skilled and motivated Securities Lawyer to join our dynamic team of legal professionals. As a Securities Associate, you will play a crucial role in advising clients on a wide range of securities-related matters, ensuring compliance with securities laws and regulations, and supporting our clients in various transactions.

Responsibilities:

1. Client Consultation: Provide expert legal advice to clients on securities laws, regulations, and compliance matters, helping them make informed decisions.

2. Transaction Support: Assist clients in structuring, negotiating, and executing various securities transactions, including public and private offerings, mergers and acquisitions, and other capital market activities.

3. Regulatory Compliance: Stay up-to-date with changes in securities laws and regulations at the provincial, national, and international levels, and ensure clients\' compliance with these laws.

4. Due Diligence: Conduct thorough due diligence reviews on behalf of clients, including reviewing financial statements, contracts, and other relevant documents to identify legal risks and opportunities.

5. Documentation: Draft and review legal documents related to securities transactions, such as prospectuses, offering memoranda, and agreements, ensuring accuracy and compliance.

6. Corporate Governance: Advise clients on corporate governance matters, including board and shareholder relations, disclosure requirements, and proxy statements.

7. Dispute Resolution: Represent clients in securities-related disputes, including regulatory investigations and enforcement actions.

8. Client Development: Cultivate and maintain strong client relationships, actively seeking opportunities to expand the firm\'s client base and generate new business.

Qualifications:

1. Juris Doctor (JD) Degree: Must possess a JD degree from an accredited law school and be a member in good standing with the Law Society of Ontario.

2. Securities Law Expertise: Substantial experience in securities law, including a proven track record of handling complex securities transactions and regulatory matters.

3. Strong Legal Analytical Skills: Proficient in legal research, analysis, and the ability to provide strategic legal advice.

4. Communication Skills: Excellent written and oral communication skills, with the ability to convey complex legal concepts to clients in a clear and understandable manner.

5. Team Player: Collaborative and able to work effectively in a team-based environment.

6. Client-Focused: A commitment to providing exceptional client service and building long-lasting client relationships.

7. Adaptability: Ability to thrive in a fast-paced, dynamic, and evolving legal landscape.
