to join our Commercial Financing practice. We predominantly represent various land developers and lenders with respect to acquisition, construction, and take-out financing of development lands. We are looking for an associate lawyer with experience in commercial financing to assist our team with increased workload demands in this area. The selected candidate is expected to take lead on financings, carrying out the key responsibilities noted below.
Key Responsibilities:
Draft, review, and negotiate loan and security documentation (e.g., commitment letters, charges, general security agreements, guarantees, loan agreements, commitment letters)
Conduct and interpret due diligence searches (PPSA, title, corporate, litigation)
Assist in structuring secured lending transactions for both lenders and borrowers
Manage and coordinate transaction closings, including preparation of closing agendas and post-closing reports
Liaise directly with clients, opposing counsel, title insurers, and service providers
Stay current on legal and regulatory developments affecting commercial lending in Ontario
Qualifications:
Member in good standing with the Law Society of Ontario
3-5 years of post-call experience, with experience in commercial financing
Excellent drafting, analytical, and organizational skills
Strong interpersonal and communication abilities
Ability to manage multiple files and deadlines with professionalism and attention to detail
