About the role:

Middle Market Financial Sponsors (MMFS) is HSBC Canada\xe2\x80\x99s leveraged finance function which sits within the Structured Banking division. The role of MMFS is to originate, structure, and execute debt financing solutions for new/existing customers, to facilitate Financial Sponsor (also known as Private Equity) led leveraged buy-out and recapitalization transactions of those new/ existing customers within Canada. MMFS will structure the facilities, lead the deal pitch and negotiations with the private equity firm, oversee the due diligence process, support the credit approval process, and negotiate the legal documentation that facilitates the completion of the new deal alongside the Financial Sponsor. The new customer\xe2\x80\x99s day-to-day banking relationship will be covered by a Large Corporate or Mid-Market Relationship Manager, while MMFS will re-engage upon any follow-on transactions such as refinancings, future M&A, or other structuring needs.

The Associate Director for Middle Market Financial Sponsors is responsible for overseeing and supporting the structuring and execution of leveraged finance deals in addition to building their network within the Canadian private equity community to support future deal flow generation. The Associate Director will coordinate, oversee, and support deal team activities including: deal review and due diligence, deal structuring, term sheet preparation, presentations and pitches to the private equity firm / company management, credit submission, legal negotiation, and execution/closing. Post-deal completion, they will maintain active dialogue with the relevant private equity firm and monitor performance of the business. The Associate Director will be a key leader for MMFS\xe2\x80\x99 associate pool, providing coaching where necessary and managing the distribution of workload across the team.

Responsibilities:

  • Meet regularly with Financial Sponsors and Advisors to maintain and build market presence, originate debt opportunities, and stay up to date with market trends and themes
  • Work closely as part of a team to structure bespoke credit facilities for proposed transactions and see the deal through to execution
  • Once established in their role, will have the opportunity to be the HSBC point of contact for a number of private equity firms, as part of the team\xe2\x80\x99s business development efforts, and act as the HSBC deal team lead for new opportunities.
  • Support the team\xe2\x80\x99s quarterly portfolio monitoring activities to ensure adequate visibility on potential portfolio risks and implement risk management procedures as needed
  • Work with the Relationship Managers to ensure all deals written meet all agreed requirements
  • Ensure robust credit structures are in place, identifying and mitigating key risks that will secure and protect the bank whilst meeting customers needs
  • Provide practical coaching, advice and guidance to the junior team to ensure that they have strong credit skills and develop as individuals and as part of the team
  • Identify and mitigate against (potential) risks to HSBC, including (but not limited to credit) fraud, operational, and reputational risks
  • Manage the deal teams and work closely with the Relationship Management teams to ensure that business opportunities are identified
  • Work collaboratively with Products and other Global Businesses to capitalise on business opportunities
  • Lead negotiations and pitches to clients alongside team members and share the experience of managing complex/international credit matters
  • Display proactive and frequent involvement in the external market place, acting as a senior ambassador for HSBC including when appropriate in negotiations with professionals, sponsors and (prospective) clients
  • Optimise the potential value of client relationships by driving the relationship management team to deliver solutions, products and service appropriate to meet client needs and improve engagement
  • Deal with client complaints as required
  • Manage deal flow to achieve the Country\'s annual operating plan whilst also ensuring operational integrity
  • Deliver fair outcomes for our customers and ensure own conduct maintains the orderly and transparent operation of financial markets

  • Communicate and adhere to HSBC policy and procedures in order to ensure good operational, financial and project management, policy and procedural compliance and early identification and effective resolution or escalation of issues that arise
  • Contribute to the development, implementation and maintenance of a management information, analysis and reporting framework that supports and informs timely and effective business management and decision making at all levels
  • Contribute to the implementation and monitoring of the application of policies, governance frameworks, procedures, practices and standards to ensure quality, effective risk management and regulatory compliance
Requirements
  • Minimum of 6+ years experience in a corporate banking-related role, preferably having prior experience with M&A transactions or specifically working on private equity-backed transactions
  • Robust corporate lending and risk assessment knowledge and preferably experience with cash flow based lending
  • Good level of business acumen and commercial awareness, including economic, cultural, procedural and regulatory issues
  • Experience in structuring complex credit deals for clients, which may include a range of banking/debt products
  • Ability to interact with business customers at all levels
  • Excellent interpersonal skills and ability to interact and build relationships with internal and external stakeholders
  • Excellent time management, planning and organisation skills
  • Excellent range of communication skills, including written, verbal, and the ability to deliver compelling presentations
  • Strong analytical skills
  • Strong credit assessment skills, particularly with regard to more complex and structured facilities
  • Proven ability to deliver creative and flexible customer solutions.
Desirable:
  • Knowledge of how Mid-Market and Large Corporate clients operate
  • Knowledge of a range of banking products and capabilities
  • Knowledge of HSBC group systems
  • Knowledge of HSBC-CMB policies and procedures
  • Wide personal connections within HSBC and externally in the Canadian PE market
  • Bachelors Degree in Finance, accounting or related fields
