Nous recherchons un Associe M&A (Fusions & Acquisitions) motive et analytique pour rejoindre notre equipe d'investissement, en soutien au sourcing, a l'evaluation et a l'acquisition de societes de logiciels verticales en Europe et en Amerique du Nord.
Vous jouerez un role cle dans l'identification des opportunites, la realisation d'analyses financieres et commerciales, la gestion de la due diligence et l'accompagnement de l'execution des transactions, depuis le premier contact jusqu'a la cloture.

DESCRIPTION DU POSTE
En tant qu'Associe M&A, vous soutiendrez l'ensemble du processus d'acquisition de societes de logiciels verticales. En collaboration etroite avec les dirigeants, vous contribuerez a identifier des cibles strategiques, evaluer des opportunites, realiser la due diligence et accompagner les negociations et la cloture.
Ce role est ideal pour une personne dotee de solides capacites analytiques, d'une bonne comprehension commerciale et desireuse de batir une carriere a long terme dans les acquisitions de logiciels.
RESPONSABILITES PRINCIPALES
Adopter une approche proactive en contactant des cibles potentielles via differents canaux, en menant des appels exploratoires et en developpant des relations avec les dirigeants et les conseillers vendeurs
Evaluer et analyser les acquisitions potentielles selon les criteres de Tag Software Group et definir des attentes realistes de valorisation
Realiser la due diligence pre-acquisition, tant commerciale que financiere, en collaboration avec les equipes internes
Apporter un soutien operationnel aux responsables de transaction en collaborant avec des equipes transverses
Preparer des rapports et presentations resumant les conclusions de la diligence
Effectuer des recherches de marche et d'industrie pour identifier les tendances et les risques
Participer aux negociations des termes de transaction, en soutien au Directeur M&A
Contribuer a la reussite globale des initiatives d'acquisition par des missions connexes
Se tenir informe des tendances sectorielles et des meilleures pratiques en etudiant les marches cibles et les facteurs economiques
QUALIFICATIONS MINIMALES REQUISES
Diplome de licence en Finance, Comptabilite, Ingenierie ou autre discipline quantitative
2+ ans d'experience en Banque d'Investissement, Private Equity, M&A ou Finance d'Entreprise
Competences solides en developpement commercial et en analyse financiere
Capacite a identifier de maniere autonome des cibles et a gerer un pipeline
Excellentes aptitudes interpersonnelles et relationnelles
Solides competences analytiques et en resolution de problemes
Maitrise de Microsoft Excel et de la modelisation financiere
Capacite a gerer plusieurs transactions dans un environnement rapide
Esprit entrepreneurial avec un bon jugement commercial
Maitrise de l'anglais, ecrit et oral
Autorisation legale de travailler dans la region concernee

We are looking for a driven and analytical M&A Associate to join our investment team, supporting the sourcing, evaluation, and acquisition of vertical market software businesses across the EU and North American regions.

POSITION DESCRIPTION:
As an M&A Associate, you will support the end-to-end acquisition process for vertical market software companies. Working closely with senior leaders, you will help identify strategic targets, evaluate opportunities, conduct due diligence, and support negotiations and closing.
This role is ideal for someone with strong analytical abilities, commercial awareness, and a desire to build a long-term career in software acquisitions.
KEY RESPONSIBILITIES:
Employ a proactive approach, reaching out to potential targets through various channels, conducting exploratory calls, and fostering relationships with business owners and sell-side advisors
Evaluate and assess target acquisitions against Tag Software Group's criteria and determine realistic valuation expectations
Conduct pre-acquisition due diligence, covering both commercial and financial aspects, in collaboration with internal teams
Provide execution support to deal leads through the acquisition process by collaborating with cross-functional teams
Prepare reports and presentations summarizing diligence findings
Conduct market and industry research to identify trends and risks
Negotiate deal terms, supporting efforts to achieve acquisition targets with the Head of M&A
Perform other related duties as assigned to contribute to the overall success of acquisition initiatives
Stay updated on industry trends and best practices by researching and understanding target markets and economic factors
REQUIRED / MINIMUM QUALIFICATIONS:
Bachelor's degree in Finance, Accounting, Engineering, or another quantitative field
2+ years of experience in Investment Banking, Private Equity, M&A, or Corporate Finance
Strong business development and financial analysis skill
Ability to independently source targets and manage a pipeline
Excellent interpersonal skills and relationship-building abilities
Strong analytical and problem-solving skills
Proficiency in Microsoft Excel and financial modelling
Ability to manage multiple deals in a fast-paced environment
Entrepreneurial mindset with strong commercial judgment
Fluent in English, both written and verbal
Legally authorized to work in the relevant region
ADDITIONAL OR PREFERRED QUALIFICATIONS:
CFA designation is highly advantageous
Familiarity with a buy-and-build model and experience/knowledge in vertical software, technology, or software (asset)
